Business Law covers a host of different aspects of in the business world including basic contract drafting for sales agreements to more difficult Asset Purchase agreements or Merger agreements. One of the most common requests I encounter is simply the set up of a small business. These businesses can take many forms from sole proprietorships to small closely held corporations. I am here to advise and assist my clients in setting up those businesses and handling corporate and company matters as they arise.
Business Formation. Setting up a business begins first with the decision of what entity best fits the client’s intended goals. After a decision has been made, more often than not, Articles of Incorporation, Articles of Formation, Corporate Bylaws, Operating Agreements and business names are drafted and sent to the Oregon Secretary of State – Corporation Division for filing.
Business Contract Drafting. I have drafted Business Asset Purchase and Sale contracts, Employment Contracts, and Non-Compete Agreements for many businesses. I review and negotiate Leases for businesses and assist business clients with Corporate formalities after formation.
Business Litigation. With all of the various contracts that go along with running a business, there is bound to be a dispute that arises. The main focus of my practice is litigation involving business disputes. These cases can have widespread conflicts such as difficulties with partnerships, Corporate disagreements with shareholders, and lawsuits filed by third parties for actions of company employees or agents. Very often clients come to me after they have been sued. I immediately file notices of representation and work the legal process to defend that lawsuit until a satisfactory resolution is reached, even if that means going to trial.
